Terms of Use

These Terms of Use apply to the use of the Treams platform and related applications and integrations provided by Treams B.V.
1. About Treams
Treams B.V. (“Treams”, “we”, “us” or “our”) provides a software-as-a-service platform for performance management, employee development and engagement.

2. Scope and acceptance
These Terms of Use apply to users accessing or using the Treams platform, including related web applications, mobile applications and integrations such as Treams for Microsoft Teams and Treams for Microsoft Outlook (collectively, the “Service”).
By accessing or using the Service, you agree to use the Service in accordance with these Terms and any applicable policies and instructions provided by your organisation.
If you access Treams on behalf of your employer or another organisation, your access is subject to the agreement between that organisation and Treams.
3. Relationship with Customer agreements
Access to Treams is generally provided through an organisation that has entered into an agreement with Treams B.V. (“Customer”).
Your right to access and use Treams depends on the Customer maintaining a valid agreement or subscription with Treams and authorising you to use its Treams workspace.
A separate customer agreement, order form, data processing agreement, service level agreement, general terms and conditions or other written agreement may apply between Treams B.V. and the Customer.
If there is any conflict between these Terms of Use and such an agreement, the agreement concluded between Treams B.V. and the Customer will prevail.
These Terms do not replace or amend an existing agreement between Treams B.V. and a Customer.
4. The Treams Service
Treams provides organisations with tools that support performance management, employee development and engagement.
Depending on the Customer's subscription and configuration, the Service may include functionality relating to, among other things:
- goals and performance;
- feedback;
- one-to-one meetings and check-ins;
- employee development and growth;
- reviews and evaluations;
- employee engagement and surveys;
- notes and other information relevant to development and performance; and
- integrations with third-party products and services.
Specific functionality may depend on the Customer's subscription, configuration and permissions assigned to individual users.
Treams may improve, modify or replace functionality as the Service develops, subject to the applicable Customer agreement.
5. User accounts and access
You may only access Treams using an account that has been authorised for you by a Customer.
You must:
- provide accurate information where requested;
- use only your own account;
- keep authentication credentials secure;
- comply with the access permissions assigned to you;
- immediately report suspected unauthorised access or misuse; and
- comply with reasonable security instructions provided by Treams or your organisation.
You may not provide another person with access to your account or attempt to access functionality, information or workspaces for which you have not been authorised.
The Customer is responsible for determining which users may access its Treams workspace and, where applicable, for assigning roles and permissions.
6. Microsoft Teams and Outlook integrations
Treams provides integrations with Microsoft Teams and Microsoft Outlook that allow authorised users to save selected Microsoft content into their Treams workspace.
6.1 Treams for Microsoft Teams
Treams for Microsoft Teams allows an authorised user to select a message within Microsoft Teams and save that message as a note in Treams.
The user actively initiates the transfer by selecting the relevant Treams action in Microsoft Teams. Before saving the message, the user can select how the information should be stored within Treams.
To provide this functionality, Treams may process information associated with the Microsoft user and conversation, including Microsoft tenant information, email addresses and information required to identify the applicable Treams workspace and relevant users.
6.2 Treams for Microsoft Outlook
Treams for Microsoft Outlook allows an authorised user to open an email in Microsoft Outlook and choose to save information from that email as a note in Treams.
The integration accesses the currently opened email when the user actively uses the Treams add-in and chooses to save the content.
The integration does not provide Treams with continuous access to the user's mailbox.
6.3 User-initiated processing
The Microsoft Teams and Outlook integrations are user initiated.
Treams does not use these integrations to continuously scan Microsoft Teams conversations, chat history or Outlook mailboxes.
Content is transferred to Treams only when a user explicitly chooses to save an item using the relevant integration.
Once saved, the content becomes part of the Customer's Treams workspace and is treated in the same manner as other Customer Content stored within Treams.
Access to saved content is determined by the functionality selected by the user and the applicable permissions and configuration within the Treams workspace.
Users should only save messages, emails or other information where they are authorised to do so and where saving that information is appropriate for the intended use within Treams.
6.4 Enabling the integrations
The Microsoft integrations must first be enabled by an authorised administrator of the Customer's Treams workspace.
Where required, an authorised Microsoft administrator must grant the Microsoft permissions and administrator consent necessary for the integration to operate in the Customer's Microsoft environment.
Treams uses the Customer's Microsoft tenant information to associate the Microsoft environment with the correct Treams workspace.
The Customer remains responsible for determining whether the integration may be enabled for its organisation and which users may use it.
6.5 Microsoft services
Microsoft Teams, Microsoft Outlook, Microsoft 365, Microsoft Entra ID and related Microsoft services are provided by Microsoft and are subject to Microsoft's applicable terms and policies.
Treams does not control Microsoft services and is not responsible for their availability, operation or modification.
Disabling the Treams integration or changing applicable Microsoft permissions may prevent some or all integration functionality from operating.
7. Acceptable use
You must use Treams professionally, responsibly and only for legitimate purposes connected with your organisation's use of the Service.
You must not:
- use the Service for unlawful, fraudulent or abusive purposes;
- attempt to obtain unauthorised access to accounts, data, systems or functionality;
- circumvent security, authentication or access-control mechanisms;
- interfere with or disrupt the operation or security of the Service;
- introduce malware, malicious code or other harmful material;
- use the Service to infringe the rights of Treams, your organisation, colleagues or third parties;
- upload or save information that you are not authorised to process;
- misuse personal, confidential or sensitive information relating to colleagues or other individuals;
- reverse engineer, decompile or otherwise attempt to obtain the source code of the Service except where applicable law expressly permits this; or
- use automated means to access or extract information from the Service except where expressly authorised by Treams.
Your organisation may establish additional rules regarding appropriate use of Treams. You are also responsible for complying with those rules.
8. Customer Content and privacy
Customers and their authorised users may enter, upload, create or save information in Treams (“Customer Content”).
As between Treams and the Customer, rights and responsibilities relating to Customer Content are governed by the applicable Customer agreement and, where personal data is processed on behalf of the Customer, the applicable Data Processing Agreement.
Treams processes personal data in accordance with applicable data protection legislation and the Treams Privacy Policy.

Customer Content processed through the Microsoft Teams and Outlook integrations is transferred to Treams and stored within the Treams environment in the same manner as other Treams notes.
Treams maintains appropriate technical and organisational measures designed to protect information processed through the Service.
Further information regarding the processing of personal data, including storage, retention, deletion and security, is provided in the Treams Privacy Policy, applicable Data Processing Agreement and related privacy and security documentation.
9. Intellectual property
Treams and its licensors retain all intellectual property rights relating to the Service, including its software, technology, design, trademarks, documentation and other proprietary materials.
Except for the limited right to use the Service in accordance with the applicable Customer agreement and these Terms, no intellectual property rights are transferred to users or Customers.
Customers and users retain their rights in Customer Content, subject to the rights necessary for Treams to provide, secure, maintain and support the Service in accordance with the applicable Customer agreement.
“Treams” and associated names, logos and branding are trademarks or other protected identifiers of Treams B.V. and may not be used without permission.
Microsoft, Microsoft Teams, Outlook, Microsoft 365 and Microsoft Entra are trademarks of Microsoft Corporation. Their use in these Terms is solely to identify the products and services with which Treams integrates.
10. Third-party services and integrations
The Service may integrate with or provide links to third-party services.
Third-party products and services are provided by the relevant third party and may be subject to separate terms, privacy policies and availability conditions.
Treams does not control third-party services and cannot guarantee their continued availability, functionality or compatibility with Treams.
Changes made by a third-party provider may affect the operation of an integration.
Where relevant, Treams will take reasonable steps to maintain supported integrations, subject to the applicable Customer agreement.
11. Availability, maintenance and support
Treams aims to provide a reliable and secure Service but cannot guarantee that the Service will always operate uninterrupted or without errors.
The Service may temporarily be unavailable due to maintenance, updates, security measures, technical failures or circumstances outside Treams' reasonable control.
Any agreed service levels, availability commitments, maintenance arrangements, support services and response times are governed by the applicable Customer agreement.

12. Suspension and termination of access
Treams or the Customer may restrict or terminate a user's access where:
- the user is no longer authorised by the Customer;
- the Customer's agreement or subscription ends;
- access creates or may create a security risk;
- the user materially violates these Terms or applicable policies;
- continued access would violate applicable law; or
- suspension or termination is otherwise permitted under the applicable Customer agreement.
Termination of a user's account does not by itself determine the retention or deletion of Customer Content.
Retention and deletion are governed by the applicable Customer agreement, Data Processing Agreement, Customer instructions and applicable law.
13. Liability
The Service is provided as part of the contractual relationship between Treams B.V. and the Customer.
Any warranties, service commitments, limitations of liability, indemnities or other provisions relating to liability are governed by the applicable agreement between Treams B.V. and the Customer.
To the extent permitted by applicable law, these Terms of Use do not create additional warranties, guarantees or liabilities beyond those contained in the applicable Customer agreement.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
14. Changes to these Terms
Treams may update these Terms from time to time, for example to reflect changes to the Service, integrations, applicable legislation or regulatory requirements.
The current version will be published on this page together with the date on which it was last updated.
Where changes materially affect a Customer's contractual rights or obligations, those changes will be handled in accordance with the applicable Customer agreement.
15. Governing law
Unless otherwise agreed in writing between Treams B.V. and the Customer, these Terms and the use of the Service are governed by the laws of the Netherlands.
Any contractual dispute between Treams B.V. and a Customer is subject to the dispute-resolution and jurisdiction provisions contained in the applicable Customer agreement.
